These Terms of Service ("Terms") govern your use of the digital wallet pass platform and related services ("Services") provided by ReachPass ("we", "us", or "our") through reachpass.io. By accessing or using our Services, you agree to be bound by these Terms.

1. Services Description

We provide a digital wallet pass platform that enables businesses to create, issue, and manage Apple Wallet and Google Wallet passes for loyalty programmes, membership cards, store cards, coupons, and event tickets. End customers receive and use these digital passes on their mobile devices.

2. Account Registration

To use certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorised access to your account.
• Accept responsibility for all activities that occur under your account.

3. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights.
• Transmit any malicious code, viruses, or harmful content.
• Attempt to gain unauthorised access to our systems or other users' accounts.
• Send unsolicited communications or spam through our platform.
• Interfere with or disrupt the integrity or performance of our Services.
• Use our Services for any fraudulent or deceptive purpose.

4. Digital Wallet Passes

Wallet passes issued through our platform are subject to the following conditions:

• Passes are issued at the discretion of the business operating the programme.
• Points, balances, and rewards displayed on passes are managed by the issuing business and may be subject to additional terms set by that business.
• We reserve the right to update pass data to reflect changes made by the issuing business.
• Passes may be revoked or voided if used fraudulently or in violation of these Terms.

5. Payment Terms

Where our Services include paid features or subscriptions:

• All prices are displayed inclusive of applicable taxes unless otherwise stated.
• Payments are processed securely through Stripe. We do not store or handle payment card details.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds are handled in accordance with applicable consumer protection laws.

6. Intellectual Property

All content, trademarks, logos, and intellectual property displayed through our Services remain the property of their respective owners. You may not copy, reproduce, distribute, or create derivative works from our platform content without prior written consent.

Content you upload or create through our platform (such as pass designs and programme configurations) remains your property. You grant us a licence to use this content solely to provide the Services to you.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR. By using our Services, you acknowledge that you have read and understood our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
• Our total aggregate liability for any claims arising from the Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.
• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death, personal injury, or fraud.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if continued provision of the Services becomes impractical or unlawful. Upon termination:

• Your right to use the Services ceases immediately.
• We will retain or delete your data in accordance with our Privacy Policy and applicable law.
• Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and indemnification.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform or via email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ReachPass is established (US). Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
